Terms & Conditions:

Please read the following Terms and Conditions carefully. This
letter of Terms and Conditions refers to an agreement between
NosyNeighbor Entertainment and/or dba Midwest Content Providers
(referred to herein as ‘NymphoBucks’ or ‘affiliate program’) and
whosoever joins said affiliate program (referred to herein as
‘affiliate’)

1. ACCEPTANCE AND MODIFICATION OF
TERMS AND CONDITIONS. Affiliate acknowledges that these Terms
and Conditions have been read and hereby agree to abide by and
accept these Terms and Conditions, including as they may be amended
from time to time. Ignorance of these Terms and Conditions will not
be considered a valid excuse for any violation. NymphoBucks reserves
the right to add to, delete from, or change in any form these Terms
and Conditions at any time. Changes in Terms and Conditions become
effective 48 hours after posting on this Terms and Conditions
webpage. Affiliate is responsible for reading and complying with any
changes that NymphoBucks may make to these Terms and Conditions from
time to time.

2. ADMITTANCE TO / TERMINATION
FROM AFFILIATE PROGRAM. NymphoBucks reserves the right to deny
any potential affiliate admittance into this affiliate program as
well as the right to terminate any affiliate from this affiliate
program at any time for any reason. Also, NymphoBucks may terminate
this affiliate program at any time for any reason. NymphoBucks will
provide email notification of any denial of admittance or of
termination from affiliate program.

3. VIOLATION OF TERMS AND
CONDITIONS. Violation of any or all of these Terms and
Conditions is grounds for termination and releases NymphoBucks from
any payment or other obligation to affiliate, regardless of whether
the payment or other obligation has accrued or has not. If affiliate
engages in any prohibited activity, or in ANY similar activity or
practice to accomplish similar results, affiliate’s participation in
this affiliate program will be terminated immediately as a violation
of these Terms and Conditions. In all cases, NymphoBucks and/or
third-party billing company shall be the determiner of whether a
violation exists and may act on good faith suspicion alone.

4. AGE REQUIREMENT. In order
to participate in this affiliate program, affiliate must be over the
age of 18 or of the legal age to view adult content in your
community.

5. UNITED STATES TAXES. United
States residents and corporations, and foreign participants who are
residents of the United States, are required to provide a completed
and signed United States Department of Treasury Internal Revenue
Service Form W-9 setting forth information including a United States
Federal taxpayer ID Number or Social Security Number. Foreign
participants who are not residents of the United States and who are
not conducting a trade or business in the United States, are
required to provide a completed and signed United States Department
of Treasury Internal Revenue Service Form W-8BEN before any payment
will be processed. Foreign participants who are not residents of the
United States but who are conducting a trade or business in the
United States, are required to provide a completed and signed United
States Department of Treasury Internal Revenue Service Form W-8ECI
before any payment will be processed.

6. PAYMENT FOR SALES.
NymphoBucks, through it’s third-party billing company, will
conditionally pay affiliate for sales to NymphoBucks program
websites from target page or pages from a banner or link posted on
web page or pages of affiliate’s site(s). All payment will originate
from and be dependant on the third-party billing company, and any
disputes about monies owed to affiliates shall be handled by the
third-party billing company.

7. PERCENTAGE OF SALES.
Affiliate agrees, upon initial commitment to this affiliate program,
to be paid a percentage rate for each new membership sign-up to
NymphoBucks program websites resulting from links at your site. Said
percentage rate is based at 50 percent and may be higher than 50
percent and will never be lower than 50 percent; however, affiliate
may not receive a full 50 percent payout of each sale dependant on
charges and requirements issued by the third-party billing company.
Payout percentage may be changed by NymphoBucks at any time for any
reason, and written notice will be given for any change in payout
percentage.

8. BANNERS AND PROMOTIONAL
MATERIALS.

NymphoBucks will provide affiliate with a selection of banners and
promotional materials for use in this affiliate program. Affiliate
may post one or more of these banners on affiliate’s site or sites.
NymphoBucks retains copyright of all banners and promotional
materials and grants conditional use for said banners and
promotional materials to affiliate of usage to promote NymphoBucks
websites ONLY and only during the period time affiliate is part of
NymphoBucks program. Usage of banners and/or promotional materials
not supplied by NymphoBucks is herein authorized; however,
NymphoBucks will supply no compensation for creating said banners
and/or promotional materials, and NymphoBucks reserves the right to
use any banners and/or promotional materials created by affiliate in
any manner seen fit.

J. PROHIBITED ACTIVITY.

Any and all practices that could reflect negatively on NymphoBucks
are prohibited. All web traffic sent by affiliate to NymphoBucks
sites must be voluntary and must originate from a web page.
Misleading text in connection with the banner, forced exit traffic,
forced click-throughs, and blind links are all prohibited. Links
from unsolicited commercial email (UCE), commonly known as SPAM, are
prohibited.  Affiliate is prohibited from sending any web traffic to
NymphoBucks sites from any web pages with any content, on the web
page or in its URL, that might infringe the rights of third parties,
including but not limited to: warez, password selling or trading,
copyright or trademark or other intellectual property infringement,
privacy or right of publicity infringement, use of another’s name or
a variation thereof without express consent. Affiliate is prohibited
form using any NymphoBucks banner and/or promotional materials
without imbedded URL showing completely. Affiliate is prohibited
from placing NymphoBucks banners or promotional materials on any
sites that hide or camouflage their entry button and/or links to
their pictures, as well as any effort to hide the site’s true
content with the intention of tricking or encouraging browsers into
clicking on banners (better known as ‘circle-jerk’ sites). Affiliate
is prohibited from displaying NymphoBucks sites in a frame or any
other device intending to display NymphoBucks sites with other non-NymphoBucks
advertising or content. Affiliate is prohibited from sending any web
traffic to NymphoBucks sites from any web pages which violate any
laws of a jurisdiction in which affiliate or NymphoBucks is located,
or which contain or promote, in any way, the following: obscene
content, child pornography, bestiality, rape, warez, password
selling or trading, UCE or SPAM emails, copyright or trademark or
other intellectual property infringements, rights of privacy or
publicity infringements, use of another’s name or variation thereof
without express consent.

K. REPERCUSSIONS OF PROHIBITED
ACTIVITY. If affiliate engages in any prohibited activity, or in
ANY similar activity or practice to accomplish similar results,
affiliate’s participation in this affiliate program will be
terminated immediately as a violation of these Terms and Conditions.
NymphoBucks shall be the sole determiner whether affiliate has
violated these Terms and Conditions.

L. NONRESPONSIBILITY FOR
TECHNICAL PROBLEMS. NymphoBucks will not be held responsible for
any loss to affiliate that is caused by computer server downtime
resulting from complications with NymphoBucks or affiliate’s hosting
equipment or technical errors.

M. ENTIRE AGREEMENT. These
Terms and Conditions, along with the information provided by
affiliate about affiliate and affiliate’s site or sites as well as
information supplied to and from the third-party billing company,
shall constitute the entire agreement between NymphoBucks and
affiliate. The date of execution shall be the date on which
affiliate submit to third-party billing company all required
information for joining the affiliate program.

N. APPLICABLE LAW AND ARBITRATION.
This agreement shall be governed by, and construed in accordance
with, the laws of the State of Michigan, and/or Arizona, United
States, which are applicable to contracts entered into and to be
fully performed therein. Any dispute, controversy or claim relating
to this contract shall be settled by arbitration in the City of
Tempe, AZ in accordance with the rules and regulations governing
commercial arbitration promulgated by the American Arbitration
Association before a neutral arbitrator(s) (i.e., individuals who,
to the best of either party’s knowledge, do not have a bias in favor
of, or against, either party) having experience in matters involving
Internet commerce. The decision of the arbitrators shall be final
and binding on the parties, and judgment upon the award rendered by
the arbitrators may be entered in any court having jurisdiction
thereof. Any arbitration award shall include attorney’s fees for the
prevailing party.

O. LIMITED LIABILITY.
Notwithstanding anything to the contrary contained herein,
NymphoBucks shall not, under any circumstances, be liable to
affiliate for incidental, special, or punitive damages, including
but not limited to lost profits, even if apprised of the likelihood
of such damages occurring.
